Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of WasFlo ("WasFlo," "we," "us," or "our"), including our website, applications, dashboards, APIs, integrations, messaging tools, automation features, analytics, and related services (collectively, the "Service").
By creating an account, accessing the Service, purchasing a subscription, or otherwise using WasFlo, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use the Service.
WasFlo is operated by Melima LLC, a California limited liability company.
Eligibility and Account Registration
You must be at least 18 years old and legally capable of entering into a binding agreement to use WasFlo. By creating an account, you represent that the information you provide is accurate, complete, and current.
You are responsible for maintaining the security of your account credentials and for all activity that occurs through your account. You must notify WasFlo promptly if you believe your account has been accessed without authorization.
Each account and workspace may only be used for lawful business or personal purposes. You may not create an account or use WasFlo on behalf of another person or organization without appropriate authorization.
WasFlo reserves the right to suspend or terminate accounts that contain false information, violate these Terms, misuse the platform, or create a risk to WasFlo, its users, or third parties.
Subscription & Billing
Paid WasFlo plans are billed in advance on a recurring monthly or annual basis, depending on the plan selected. By subscribing to a paid plan, you authorize WasFlo and its payment providers to charge the applicable subscription fee using your selected payment method.
Billing Cycle
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation will generally take effect at the end of the current paid billing period, unless otherwise stated at the time of cancellation.
Usage-Based Charges
Where applicable, WasFlo may offer usage-based services, message credits, or other paid features. Any applicable usage charges will be deducted from your available credits or charged according to the pricing displayed when the service is purchased or used.
Taxes
Prices may be exclusive of applicable taxes, including sales tax, VAT, or other government-imposed taxes. Where required by law, applicable taxes may be calculated and added based on your billing information and location.
Price Changes
WasFlo may change subscription prices or introduce new fees from time to time. Where required by applicable law, we will provide reasonable notice of material changes before they take effect. Changes will not retroactively affect a billing period that has already been paid for.
Failed Payments
If a payment fails, WasFlo may retry the payment and may restrict, suspend, or downgrade access to paid features until the outstanding amount is successfully paid.
Use of the Service
You agree to use WasFlo only for lawful purposes and in compliance with all applicable laws, regulations, and third-party policies. This includes, where applicable, privacy and data-protection laws, anti-spam and electronic communications laws, consumer-protection laws, and Meta's applicable WhatsApp Business and Platform policies.
WasFlo is a multi-tenant software-as-a-service platform. Subject to these Terms and the limitations of your selected plan, WasFlo grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Service for your authorized business or personal purposes.
Prohibited Use
You may not use WasFlo to send unlawful, fraudulent, deceptive, threatening, abusive, harassing, or otherwise prohibited content. You may not use the Service to distribute spam, malware, malicious code, scams, or content that violates the rights of others.
You are responsible for ensuring that you have the necessary rights, permissions, and lawful basis to contact individuals through WhatsApp or any other communication channel connected to WasFlo.
You must comply with applicable consent, opt-out, and messaging requirements. You must promptly honor requests from recipients to stop receiving communications from you.
Third-Party Platforms
WasFlo may integrate with third-party platforms and services, including Meta and WhatsApp. Your use of those services remains subject to their respective terms, policies, and requirements. WasFlo does not guarantee that a third-party platform will remain available, compatible, or accessible.
Violation of applicable laws, third-party policies, or these Terms may result in restriction, suspension, or termination of your access to WasFlo.
Acceptable Use
You may not use WasFlo to send spam, phishing messages, fraudulent communications, malware, illegal content, or other harmful or abusive material. You may not use WasFlo to contact individuals without the required consent or other lawful basis where applicable.
You may not use WasFlo to impersonate another person or organization, facilitate fraud, distribute malicious software, interfere with the operation of the Service, attempt to gain unauthorized access to accounts or systems, or violate the rights of any person or organization.
You must also comply with applicable messaging laws and the policies of third-party platforms connected to WasFlo, including Meta's applicable WhatsApp policies.
Additional restrictions may be described in the Acceptable Use Policy.
We may investigate suspected violations and may restrict, suspend, or terminate access to WasFlo when we reasonably believe that an account or its activity violates these Terms, applicable law, or third-party platform requirements.
Where an account is suspended or terminated because of a violation of these Terms or applicable policies, fees already paid may not be refundable.
Customer Data & Privacy
You retain your rights in the content, contacts, messages, files, and other information that you submit, upload, transmit, or otherwise provide through WasFlo (“Customer Data”). You grant WasFlo the limited rights necessary to host, process, transmit, store, and otherwise provide the Service to you.
WasFlo processes Customer Data in accordance with applicable privacy and data-protection laws and our Privacy Policy.
Your Responsibilities
You are responsible for ensuring that your collection and use of Customer Data through WasFlo complies with applicable laws and regulations. This includes obtaining any required notices, permissions, or consents before uploading or communicating with contacts through the Service.
You are also responsible for responding to requests from individuals concerning their personal information where required by applicable law.
Data Security
WasFlo uses reasonable technical and organizational measures designed to protect Customer Data against unauthorized access, disclosure, alteration, or destruction. However, no internet-based service can guarantee absolute security.
Third-Party Services
WasFlo may rely on third-party infrastructure, hosting providers, communication providers, payment processors, and other service providers to operate the Service. Customer Data may be processed by these providers as necessary to provide WasFlo's services and subject to applicable contractual and legal safeguards.
Data Processing Agreements
Where required by applicable data-protection laws, WasFlo may provide or enter into an appropriate Data Processing Agreement with eligible customers. Additional data-processing terms may apply depending on the services used and the customer's location.
Data Retention
We retain Customer Data for as long as reasonably necessary to provide the Service, comply with legal obligations, resolve disputes, enforce our agreements, and protect our legitimate interests. Data retention and deletion practices may vary depending on the type of information and service being used.
Intellectual Property
WasFlo and its underlying software, source code, technology, features, interfaces, designs, graphics, trademarks, logos, documentation, and other materials are owned by or licensed to WasFlo and are protected by applicable intellectual-property laws.
Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, sell, lease, sublicense, publicly display, reverse engineer, decompile, disassemble, or create derivative works from WasFlo or any part of the Service.
Your Content
You retain ownership of content, templates, workflows, messages, files, customer information, and other materials that you submit to WasFlo, subject to the rights necessary for WasFlo to provide the Service.
You represent that you have the necessary rights and permissions to use and submit such content through WasFlo and that doing so does not violate applicable law or the rights of any third party.
Feedback
If you provide suggestions, ideas, feature requests, or other feedback regarding WasFlo, you grant us the right to use and incorporate that feedback into the Service without compensation or obligation to you.
Your feedback does not transfer ownership of your underlying content or confidential information to WasFlo.
WasFlo Branding
You may not use the WasFlo name, trademarks, logos, or other branding without our prior written permission, except where such use is expressly permitted through features of the Service.
Confidentiality
Each party may receive confidential or non-public information from the other party in connection with the use or provision of WasFlo. Each party agrees to protect the other party's confidential information using reasonable care and to use it only as necessary to perform its obligations or exercise its rights under these Terms.
What Is Confidential Information
Confidential information may include business information, technical information, account information, pricing information, security information, Customer Data, product plans, and other non-public information that is reasonably understood to be confidential based on its nature or the circumstances in which it was disclosed.
Exceptions
Confidential information does not include information that is publicly available through no breach of these Terms, was already lawfully known by the receiving party, is independently developed without use of the confidential information, or is lawfully received from a third party without a confidentiality obligation.
Required Disclosure
A party may disclose confidential information when required by law, regulation, court order, or valid governmental request, provided that, where legally permitted, the receiving party gives reasonable notice to the other party and cooperates with reasonable efforts to limit the disclosure.
Duration
These confidentiality obligations continue during the parties' relationship and for three years after termination of the applicable account or subscription. Obligations relating to information that qualifies as a trade secret will continue for as long as that information remains a trade secret under applicable law.
Warranties & Disclaimers
WasFlo is provided on an “as is” and “as available” basis to the maximum extent permitted by applicable law. We do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times.
We do not warrant that WasFlo will meet your particular requirements or expectations, that any specific feature will remain available, or that the Service will operate without delays, interruptions, defects, or technical issues.
WasFlo may depend on third-party services, infrastructure, communication networks, APIs, and platforms, including WhatsApp and Meta. We do not guarantee the availability, reliability, functionality, or continued compatibility of third-party services.
We are not responsible for interruptions, restrictions, account suspensions, message delivery failures, or other issues caused by third-party platforms, telecommunications providers, internet service providers, or circumstances outside our reasonable control.
To the maximum extent permitted by applicable law, WasFlo disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Nothing in these Terms excludes or limits any warranty, right, or protection that cannot lawfully be excluded or limited under applicable law.
Limitation of Liability
To the maximum extent permitted by applicable law, Melima LLC and its affiliates, officers, directors, employees, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of, or inability to use, WasFlo.
This includes, without limitation, loss of profits, revenue, business opportunities, goodwill, anticipated savings, business interruption, or loss, corruption, or unauthorized disclosure of data, even if we have been advised that such damages were possible.
To the maximum extent permitted by applicable law, the total aggregate liability of Melima LLC arising out of or relating to these Terms or the Service will not exceed the greater of (a) the fees you paid to WasFlo during the twelve months immediately preceding the event giving rise to the claim, or (b) USD $100.
The limitations in this section apply regardless of the legal theory on which a claim is based, including contract, tort, negligence, strict liability, or otherwise.
Nothing in these Terms limits or excludes liability that cannot legally be limited or excluded under applicable law.
Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Melima LLC, its affiliates, officers, directors, employees, contractors, and service providers from and against claims, demands, actions, losses, liabilities, damages, judgments, costs, and reasonable expenses, including reasonable attorneys' fees, arising out of or relating to:
- your violation of these Terms or applicable law;
- your use or misuse of WasFlo;
- your Customer Data, content, messages, contacts, or other materials submitted or transmitted through the Service;
- your violation of the rights of any third party; or
- your violation of applicable WhatsApp, Meta, or other third-party platform policies.
We will provide reasonable notice of any claim subject to indemnification and may participate in the defense of the claim. You may not settle an indemnified claim in a manner that imposes liability, admission of wrongdoing, or ongoing obligations on us without our prior written consent.
This indemnification obligation applies only to the extent that the applicable claim results from your acts, omissions, violation, or misuse of the Service.
Termination
You may cancel your paid subscription at any time through your account settings. Unless otherwise stated, cancellation takes effect at the end of the current billing period, and you will generally retain access to paid features through the remainder of that period.
Suspension or Termination by WasFlo
We may suspend or terminate your account or access to all or part of the Service if you materially breach these Terms, violate our Acceptable Use Policy, violate applicable law or third-party platform policies, fail to pay amounts when due, engage in fraudulent or abusive activity, or create a security or operational risk to WasFlo or other users.
Where reasonably practicable, we may provide notice before suspension or termination. However, we may take immediate action when necessary to protect the Service, our users, third parties, or to comply with legal or third-party platform requirements.
Data Following Termination
Following termination or expiration of your account, you may request or export your Customer Data during a limited post-termination period of up to 60 days. Unless otherwise required by law or agreed under a custom plan or separate written agreement, Customer Data may be permanently deleted after this period.
Standard plans generally provide a 30–60 day post-termination data retention and export period. Custom or Enterprise plans may have different data retention, export, or deletion terms as agreed in writing between you and WasFlo.
After Customer Data is deleted from active systems, copies may remain temporarily in encrypted backups or other systems until those copies are routinely overwritten or deleted in accordance with our retention practices.
Effect of Termination
Termination does not relieve you of any outstanding payment obligations or other obligations that by their nature should survive termination. Provisions concerning intellectual property, confidentiality, limitations of liability, indemnification, disputes, and other provisions intended to survive termination will remain in effect.
Governing Law & Disputes
These Terms and your use of WasFlo are governed by the laws of the State of California, United States, without regard to its conflict-of-law principles, except to the extent that applicable law requires otherwise.
Informal Resolution
Before initiating a formal legal proceeding, you agree to first contact WasFlo and make a reasonable effort to resolve the dispute informally. You may contact us using the information provided on the WasFlo website. We will likewise make reasonable efforts to resolve disputes directly with you.
Dispute Resolution
If a dispute cannot be resolved informally, the parties agree that the dispute will be resolved in accordance with applicable law and in a court of competent jurisdiction located in California, United States, unless applicable law requires otherwise.
Exceptions
Nothing in these Terms prevents either party from seeking temporary or preliminary injunctive or equitable relief from a court of competent jurisdiction when necessary to protect intellectual property, confidential information, account security, or other rights pending resolution of a dispute.
If applicable law gives you the right to bring a claim in a particular jurisdiction or provides protections that cannot legally be waived, those rights remain unaffected by this section.
Changes to These Terms
We may update these Terms from time to time. Material changes will be notified by email or through the Service at least 30 days before they take effect, where reasonably practicable. Continued use of the Service after the effective date of updated Terms constitutes acceptance of the changes.
